Terms of Service

These Terms of Service govern your access to and use of the Luckysoft website, File to Markdown, Splitpop, purchases, support, and related services. Please read them carefully before using our products.

1. Who we are

The services are provided by Luckysoft, Zurich, Switzerland ("Luckysoft", "we", "us", or "our").

Questions about these terms, support, privacy requests, deletion requests, or account requests can be sent through the Luckysoft contact form.

2. Acceptance of these terms

By accessing or using any Luckysoft website, app, purchase, support flow, beta, cloud service, or related feature, you agree to these Terms of Service and the Luckysoft Privacy Policy. In our apps, you may also be asked to explicitly accept these terms and the Privacy Policy before or during use.

If you do not agree, do not use the services. If you use the services on behalf of an organization, you confirm that you have authority to bind that organization to these terms.

3. Splitpop-specific terms

Splitpop also has product-specific legal pages at splitpop.app/privacy and splitpop.app/terms.

Those Splitpop-specific terms apply in addition to these terms and control where they describe Splitpop-specific cloud, group, expense, balance, purchase, or account behavior more specifically.

4. Eligibility

You must be at least 16 years old, or have consent from your parent or legal guardian, to use the services. You must also be legally able to accept these terms and comply with all laws that apply to your use of the services.

5. Your responsibilities

You are responsible for how you use the services, including:

  • Using the services only for lawful purposes and in accordance with these terms.
  • Providing accurate information and keeping account or billing information current when required.
  • Keeping devices, accounts, passwords, sign-in methods, and shared links secure.
  • Making sure you have the right to upload, convert, store, share, or enter any content or personal data you provide.
  • Getting any required permission before adding other people to Splitpop groups, entering their information, sharing expenses, or inviting them to a service.
  • Reviewing outputs, balances, calculations, exports, conversions, and records before relying on them.

6. Prohibited use

You must not:

  • Use the services in a way that is unlawful, harmful, deceptive, abusive, harassing, defamatory, invasive of privacy, or infringing.
  • Upload or share content that you do not have permission to use or that violates another person's rights.
  • Interfere with, disrupt, reverse engineer, scrape, overload, probe, or bypass the security of the services except where allowed by law.
  • Use the services to transmit malware, spam, fraudulent messages, or unauthorized advertising.
  • Use the services for high-risk, emergency, safety-critical, financial-advisory, legal-advisory, tax-advisory, accounting, medical, or regulated decision-making purposes.

7. User content

You keep ownership of content you submit, upload, enter, convert, store, or share through the services. You grant Luckysoft the limited rights needed to host, process, display, transmit, support, back up, secure, and operate the services for you and the people you choose to share with.

You are solely responsible for your content and for any effects of sharing it. Luckysoft does not endorse, verify, or accept responsibility for user content, shared expense records, uploaded files, notes, receipts, links, or communications.

8. File to Markdown

File to Markdown is a focused conversion tool. Unless you intentionally send us material for support, your files are processed locally or on your device by default.

You are responsible for reviewing all converted output before relying on it. Luckysoft does not guarantee that conversions will be complete, accurate, secure, lossless, correctly formatted, suitable for a particular workflow, or free from omissions, formatting changes, metadata loss, or interpretation errors.

9. Splitpop

Splitpop helps groups record and understand shared expenses. It is not a bank, payment institution, escrow service, accountant, tax adviser, financial adviser, legal adviser, debt collector, or dispute-resolution service.

Expenses, balances, settlement suggestions, totals, exports, notifications, and payment-related records are informational only. You and the people in your group are responsible for checking amounts, settling with each other, handling reimbursements, resolving disputes, keeping your own records, and complying with any tax, accounting, consumer, employment, rental, or other legal obligations.

10. Purchases, subscriptions, and refunds

Paid features, subscriptions, in-app purchases, app store purchases, checkout purchases, and renewals may be handled by Apple, Google, Stripe, or another payment provider. Their terms, privacy policies, refund rules, billing rules, taxes, and platform requirements may apply in addition to these terms.

Prices, features, trial periods, subscriptions, and availability may change. Except where required by law or by the applicable app store or payment provider, payments are not guaranteed to be refundable.

11. Changes, availability, and updates

We may modify, suspend, discontinue, limit, rename, remove, or update any service or feature at any time. We may also release updates that change how a product works. We are not responsible for loss caused by your failure to install available updates or maintain compatible devices, accounts, operating systems, network access, or third-party services.

12. No warranties

To the maximum extent permitted by law, the services are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise.

Luckysoft does not warrant that the services will be uninterrupted, timely, secure, private, error-free, lossless, accurate, complete, compatible with every device or platform, or fit for any particular purpose. You use the services at your own risk.

13. Limitation of liability

To the maximum extent permitted by law, Luckysoft will not be liable for indirect, incidental, special, consequential, exemplary, punitive, reliance, social, group-dispute, financial, tax, accounting, legal, business-interruption, lost-profit, lost-data, lost-goodwill, device, network, or third-party damages, even if Luckysoft has been advised that such damages may occur.

To the maximum extent permitted by law, Luckysoft's total liability for all claims relating to the services is limited to the amount you paid directly to Luckysoft for the relevant service in the 12 months before the event giving rise to the claim. If you used the relevant service for free, Luckysoft's total liability is limited to CHF 50.

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for unlawful intent or gross negligence where such liability cannot be excluded under mandatory Swiss law.

14. Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold Luckysoft harmless from claims, losses, liabilities, damages, costs, and expenses arising from your content, your use or misuse of the services, your violation of these terms, your violation of law, your violation of another person's rights, or your sharing of data without the required permission.

15. Termination

You may stop using the services at any time. We may suspend, restrict, or terminate access to the services if we reasonably believe you violated these terms, created risk for us or others, caused harm, used the services unlawfully, or if a service is discontinued.

Sections that by their nature should survive termination will survive, including ownership, user responsibility, payment records, disclaimers, limitation of liability, indemnity, governing law, and dispute provisions.

16. Privacy

Our Privacy Policy explains how we handle personal data. By using the services, you acknowledge that we process personal data as described there and in any applicable product-specific privacy policy.

17. Governing law and venue

These terms are governed by the laws of Switzerland, without regard to conflict-of-law rules. The courts of Zurich, Switzerland have exclusive jurisdiction, except where mandatory consumer protection or other mandatory law gives you the right to bring claims elsewhere.

18. Changes to these terms

We may update these terms when our products, business, providers, legal requirements, or risk controls change. The updated version will be posted on this page with a new "Last updated" date. If a change is material, we may provide additional notice where required. Continued use of the services after the updated terms become effective means you accept the updated terms.
